Terms & Conditions

Table of Contents
1. Acceptance of Terms
By signing up for an account, accessing the SynqTune platform, deploying CloudFormation templates, or utilizing our orchestrator APIs, you (“Customer” or “User”) agree to be bound by these Terms and Conditions (“Terms”). If you are entering into this agreement on behalf of a corporation, partnership, or other legal entity, you represent that you have legal authority to bind such entity to these Terms.
2. BYOC Architecture & Data Sovereignty
SynqTune operates under a Bring-Your-Own-Cloud (BYOC) architectural principle:
- Zero Data Egress: Your raw training data (e.g., CSV, JSONL, Parquet) resides exclusively within your designated Amazon Web Services (AWS) S3 buckets. Training datasets are never uploaded to, cached on, or processed by SynqTune central control-plane servers.
- In-VPC Execution: Ephemeral compute instances (e.g., EC2
g5.2xlarge,g4dn.xlarge) are launched exclusively inside your private AWS VPC using STS Role Assumption delegated via CloudFormation. - Telemetry Scope: The telemetry communicated back to SynqTune is strictly limited to training metadata (e.g., step loss, GPU VRAM utilization, epoch completion percentages, and training perplexity scores). Proprietary token payloads are never transmitted.
3. Model Weights & Checkpoints Ownership
You retain all rights, title, and intellectual property ownership in and to all artifacts generated by your pipeline runs. This includes, without limitation:
- Adapter checkpoint weights (
adapter_model.safetensors,adapter_config.json). - Holdout evaluation split files and validation metrics.
- Exported GGUF or quantized weights for local deployment.
SynqTune makes no claim of ownership over your models or derived intellectual property. SynqTune does not train base foundation models on customer prompts or checkpoint outputs.
4. AWS Infrastructure & Pass-Through Billing
SynqTune enables orchestration of AWS resources directly inside your AWS account:
- Direct AWS Billing: You are directly responsible to Amazon Web Services for all EC2, EBS, S3, and data transfer costs incurred by pipeline runs launched through SynqTune.
- Zero Compute Markup: SynqTune charges only a SaaS subscription fee for access to the control plane and never levies markups, surcharges, or hidden percentage cuts on AWS compute consumption.
- Automated Idle Sweeper & Liability Limitations: While SynqTune incorporates an automated 10-minute heartbeat sweeper designed to terminate inactive or orphaned EC2 instances, the automated idle sweeper is provided as a secondary safety convenience only. SynqTune assumes no financial liability for runaway cloud infrastructure costs, missed heartbeat pings, AWS API call throttling, or un-terminated AWS instances. You remain exclusively responsible for monitoring active EC2 instances, configuring AWS CloudWatch budget alarms, and maintaining AWS Service Quotas.
5. User Accounts & Security Obligations
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your organization's workspace. You agree to immediately notify SynqTune at support@chonvy.com of any unauthorized access or security breach regarding your credentials or IAM trust configurations.
6. Acceptable Use Policy
You agree not to use the SynqTune orchestration services to train models or process content that:
- Violates applicable local, national, or international regulations or statutory privacy laws.
- Facilitates malware generation, denial-of-service exploits, or cyber attacks.
- Infringes upon any patent, trademark, trade secret, copyright, or other proprietary rights of any party.
- Circumvents or attempts to reverse engineer the SynqTune control-plane orchestrator architecture.
7. Service Availability, Uptime Targets & SLAs
SynqTune strives to maintain high availability for our control plane (99.9% uptime target for Developer & Pro tiers; custom 99.99% for Enterprise contracts).
Non-Binding Targets: These uptime targets represent operational objectives and do not constitute a legally binding service-level agreement (SLA) or entitle self-serve or standard users to financial credits, offsets, or subscription refunds. Binding financial SLAs and service credit schedules are provided exclusively under separately executed Enterprise Master Services Agreements (MSAs).
Control plane availability does not include downtime caused by third-party cloud outages (such as regional AWS outages, EC2 GPU capacity shortages, spot instance interruptions, or Hugging Face repository rate limits).
8. Customer Indemnification
You agree to defend, indemnify, and hold harmless SynqTune Systems Inc., its parent entities (including Chonvy), affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal and attorney's fees) arising out of or in any way connected with:
- Your training datasets, inputs, prompts, or proprietary data sources;
- Generated model checkpoints, weights, or downstream inferences;
- Your violation of these Terms or the Acceptable Use Policy; or
- Any third-party claim or allegation that your training content or resulting model infringes, misappropriates, or violates any third-party intellectual property, privacy, or publicity rights.
9. Disclaimers & Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SYNCTUNE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
In no event shall SynqTune Systems Inc., its parent company Chonvy, its officers, employees, or directors be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including damages for loss of profits, goodwill, use, data, or AWS compute overages resulting from user configuration errors.
10. Term & Account Termination
You may terminate your account at any time by canceling your subscription and disconnecting your AWS CloudFormation cross-account IAM role. SynqTune reserves the right to suspend or terminate accounts that violate our Acceptable Use Policy or represent an imminent security hazard.
11. Governing Law & Contact Support
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
